6. Payments and Pricing

  • All prices listed are in Ghanaian Cedis (GHS) unless stated otherwise.

7. Returns and Refunds

Returns and refunds are governed by our Return Policy, available on the Website. Chipicu reserves the right to reject returns that do not comply with the policy.

16. Severability

This Dispute Resolution Policy (“Policy”) governs the resolution of disputes between Users, Vendors, and Chipicu Ventures (“Company”) arising from the use of the Chipicu.com e-commerce platform (“Platform”). This Policy is established in accordance with the Alternative Dispute Resolution Act, 2010 (Act 798) of the Republic of Ghana.

1. Scope of Policy

  • All registered users and account holders on Chipicu.com;
  • Third-party Vendors listing or selling products on the Platform;
  • Disputes relating to purchases, transactions, returns, product quality, shipping, and customer service.

2. Initial Resolution Through Support

Most disputes can be resolved through our Customer Support team. Users are encouraged to:

  1. Contact the Vendor directly using the in-platform messaging system or phone call.
  2. If the issue remains unresolved after 3 business days, escalate the matter to Chipicu Customer Support via the dispute form available in the user dashboard or phone call.

3. Internal Review Procedure

  • Chipicu will conduct an internal investigation within 7 working days.
  • Parties may be asked to provide additional documentation (invoices, receipts, images, etc.).
  • Chipicu may mediate communication between the Buyer and Vendor to reach an amicable solution.
  • Chipicu’s determination at this stage is non-binding unless both parties accept it in writing.

4. Binding Arbitration

  • The matter shall be referred to arbitration in accordance with the Alternative Dispute Resolution Act, 2010 (Act 798).
  • The arbitration will be conducted by a single arbitrator agreed upon by the parties or appointed by an accredited ADR institution in Ghana.
  • The venue for arbitration shall be Accra, Ghana, unless otherwise agreed in writing.
  • The language of arbitration shall be English.
  • The decision of the arbitrator shall be final and binding.

5. Legal Fees and Costs

  • Each party shall bear its own legal fees.
  • The cost of arbitration shall be shared equally unless the arbitrator rules otherwise based on the conduct of the parties.

6. Exclusion of Liability

Chipicu Ventures shall not be held liable for:

  • Losses or damages resulting from disputes between Users and Vendors;
  • Delays in dispute resolution due to non-cooperation by either party;
  • Legal outcomes resulting from independent or third-party arbitration decisions.

7. Exemptions from Arbitration

Disputes involving:

  • Criminal allegations (e.g. fraud, theft);
  • Intellectual property claims;
  • Defamation or cybercrime;

shall be referred directly to the appropriate Ghanaian courts or law enforcement agencies, and are exempted from arbitration.

8. Governing Law

This Policy shall be governed by and construed in accordance with the laws of the Republic of Ghana.

9. Policy Updates

Chipicu Ventures reserves the right to update this Policy at any time. Continued use of the Platform after updates implies acceptance of the revised Policy.

This Return & Refund Policy (“Policy”) outlines the terms and conditions under which Chipicu Ventures, operators of Chipicu.com, will accept returns and issue refunds for goods and services purchased on the Platform. This Policy is made in accordance with the Consumer Protection Act, 2012 (Act 822) of the Republic of Ghana.

By placing an order through Chipicu.com, you agree to the terms outlined below.

1. Scope of the Policy

  • Products sold and fulfilled by Chipicu Ventures; and
  • Products sold by third-party Vendors on the Platform, where applicable.

NOTE: Each third-party Vendor may have its own return terms. Where applicable, such terms shall apply in addition to this Policy.

2. General Return Eligibility

Returns are accepted only if the following conditions are met:

  • The return request is submitted within 3 calendar days from the date of delivery.
  • The product is unused, in original packaging, and in resalable condition.
  • A valid proof of purchase (receipt, order number, or invoice) is provided.

Non-returnable Items Include:

  • Perishable goods (e.g. food, flowers).
  • Intimate or sanitary goods (e.g. undergarments).

This Vendor Agreement (“Agreement”) is made between Chipicu Ventures, a company duly incorporated under the laws of the Republic of Ghana with its principal office at [Insert Address] (“Company”), and the vendor (“Vendor”) registering to list and sell products or services on Chipicu.com (“Platform”).

By signing up or using the Vendor services on Chipicu.com, the Vendor agrees to be bound by the following terms:

1. Definitions

  • Vendor shall provide accurate business registration, tax identification, and bank or mobile money details.
  • Chipicu reserves the right to verify and approve or reject any application.

3. Vendor Obligations

The Vendor agrees to:

  • Accurately list and describe all Products.
  • Ensure all Products are safe, lawful, and comply with Ghanaian regulations.
  • Maintain sufficient stock to fulfil orders promptly.
  • Handle packaging and delivery (unless Chipicu fulfilment is used).
  • Be responsible for after-sale service, returns, and customer complaints related to their Products.

4. Fees and Commissions

  • Chipicu may charge listing fees, subscription fees, and/or commissions on sales, as set out in the Vendor Fee Schedule.
  • All commissions are deducted at source or payable upfront at the time of registration.
  • Chipicu reserves the right to revise its fees with 14 days’ notice.

5. Payment Terms

  • Payments are settled to the Vendor on a weekly basis.
  • Chipicu reserves the right to withhold payments for:
    • Returned or disputed transactions,
    • Suspected fraud,
    • Violations of this Agreement.

6. Taxes

  • Vendor is responsible for all applicable taxes, levies, and statutory deductions required by the Ghana Revenue Authority (GRA).
  • Chipicu shall not be responsible for remitting the Vendor’s taxes unless explicitly required by law.

7. Product Liability and Indemnity

  • Vendor is solely liable for the Products sold, including any product liability claims, recalls, or damage resulting from use.
  • Vendor agrees to indemnify and hold harmless Chipicu Ventures from any legal claims, damages, costs, or penalties arising from:
    • The sale of defective or illegal goods,
    • Breach of third-party rights (e.g., IP infringement),
    • Misleading or false advertising.

8. Prohibited Products

Vendor shall not list or sell:

  • Counterfeit or pirated goods.
  • Hazardous, illegal, or unapproved items under Ghanaian law.
  • Products infringing trademarks, copyrights, or patents.

Chipicu reserves the right to remove any listings without notice.

9. Intellectual Property

  • Vendor grants Chipicu a non-exclusive, royalty-free license to use product images, trademarks, and descriptions for marketing and listing.
  • Vendor warrants they own or have legal rights to all submitted content.

10. Termination

  • Chipicu may terminate or suspend this Agreement immediately if:
    • Vendor violates any terms of this Agreement,
    • Fraudulent, abusive, or illegal activity is detected,
    • Required by law or regulatory authority.
  • Vendor may terminate with 7 days’ written notice, subject to fulfilment of outstanding orders.

11. Confidentiality

Vendor agrees to keep confidential all information regarding Chipicu’s business operations, customers, and technology that is not publicly available.

12. Limitation of Liability

To the maximum extent permitted by law, Chipicu Ventures shall not be liable for:

  • Loss of profits, goodwill, or business,
  • Product defects caused by the Vendor,
  • Any indirect or consequential damages.

13. Force Majeure

Neither party shall be liable for failure to perform due to causes beyond their reasonable control, including acts of God, strikes, government restrictions, or internet outages.

14. Governing Law and Dispute Resolution

  • This Agreement shall be governed by the laws of the Republic of Ghana.
  • Disputes shall be resolved first through good-faith negotiations.
  • Unresolved disputes shall be submitted to arbitration in accordance with the Alternative Dispute Resolution Act, 2010 (Act 798) of Ghana.

15. Entire Agreement

This Agreement constitutes the entire understanding between Chipicu and the Vendor and supersedes all prior agreements. Any amendments must be made in writing and signed by both parties.
